Terms of Service

1. Acceptance and eligibility

By accessing or using MuseForge, you agree to these Terms of Service. If you do not agree, do not use the service. You must be at least 18 years old to use MuseForge. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The service

MuseForge orchestrates third-party AI providers (including OpenAI, Anthropic, fal.ai, Luma, MiniMax, and others) to help you produce music videos. You bring your own API keys for those providers. MuseForge fees cover platform infrastructure, storage, and rendering only — we add no markup to AI generation costs and we are not a reseller of AI provider services.

For tax, billing, and data-protection purposes, each AI provider is your direct counterparty for the model call itself. MuseForge is the orchestrator that passes your request through using the API key you supplied.

3. Your content and outputs

You retain all rights to audio you upload and to the videos and other media generated through the service. To the extent MuseForge acquires any right, title, or interest in your generated outputs, we assign that interest to you. By using MuseForge you grant us a limited, non-exclusive, royalty-free license to host, process, transcode, store, and display your content for the sole purpose of providing the service to you. This license terminates when you delete the content or your account, subject to the retention windows in our Privacy Policy.

You are responsible for ensuring you have the rights to any audio you upload, including music, vocals, and samples, and for the outputs you generate. We do not pre-screen content.

4. API keys and provider terms

You are bound by the terms of service, acceptable use policy, and data-handling terms of every AI provider whose key you connect. MuseForge does not sell, resell, or broker API keys, and we do not guarantee the security of your provider accounts. You are solely responsible for obtaining, securing, monitoring, and rotating your keys, and for the charges they incur.

MuseForge encrypts API keys at rest using AES-256-GCM with per-record authenticated encryption. Keys are decrypted only in memory at the moment they are needed to call a provider. You may revoke a key from MuseForge at any time; in-flight jobs using a revoked key are cancelled within a reasonable period (typically under 5 minutes), but charges already incurred at the provider cannot be reversed by us.

5. Provider charges and refunds

MuseForge does not bill you for AI provider usage. Charges incurred at OpenAI, Anthropic, fal.ai, Luma, MiniMax, or any other provider are billed directly by those providers to the account associated with the API key you supplied.

We do not refund, credit, or dispute provider charges, including charges resulting from: (a) bugs, retries, or unexpected loops in MuseForge software; (b) provider rate-limit, timeout, or quality failures that occur after the provider has accepted and billed the request; (c) charges you incur after revoking, rotating, or losing access to a key. You should configure provider-side spend caps; MuseForge offers in-app soft caps as a convenience, not a guarantee. If you believe a provider charge resulted from a MuseForge defect, contact us — we will investigate and may issue MuseForge platform-fee credits at our discretion.

6. Acceptable use

You may not use MuseForge to generate, request, or distribute content that:

  • is illegal, infringes copyright or trademark, or violates the acceptable use policy of any AI provider you connect;
  • constitutes child sexual abuse material (CSAM) or sexualises minors in any form;
  • is non-consensual intimate imagery (NCII) of real persons, living or deceased;
  • depicts identifiable real persons (including public figures, musical artists, voice-likenesses, and deceased persons) without documented consent of the rights-holder, except for clearly-labelled satire, commentary, or news reporting permitted under applicable law;
  • impersonates candidates, officials, or election officials, or is intended to mislead voters;
  • is intended to harass, threaten, defame, or incite violence against any individual or group;
  • is malware, phishing, or otherwise designed to compromise systems;
  • red-teams, jailbreaks, or stress-tests connected providers without their prior written approval;
  • violates the rights of musical artists, including unlicensed use of recognisable voice or performance likeness.

We may suspend or terminate accounts that violate these restrictions immediately and without prior notice, retain content for legal-compliance purposes where required, and report unlawful content to the appropriate authorities. Subscription fees are non-refundable on for-cause termination.

7. Subscriptions, fees, and refunds

Paid subscriptions renew automatically until cancelled. Cancel any time from your billing settings; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods. Fees are exclusive of taxes, which you are responsible for. We may change pricing on at least 30 days' notice for the next billing cycle.

Provider charges are addressed in Section 5. AI provider charges are not refundable by MuseForge — contact your provider for those.

8. Service availability and provider changes

We do not guarantee uninterrupted availability. AI providers regularly change, deprecate, or remove models. When a provider deprecates a model, the corresponding adapter in MuseForge may stop working without notice. We will make reasonable efforts to support replacement models but cannot guarantee equivalent quality, latency, or pricing. Such provider-side changes are not grounds for a refund.

9. Indemnification

You agree to defend, indemnify, and hold harmless MuseForge, its affiliates, and its personnel from and against any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to:

  • your use of the service or any output you generate;
  • your breach of these Terms or any provider's terms;
  • your violation of any third-party right, including intellectual property, publicity, or privacy rights;
  • your violation of any applicable law or regulation;
  • any content you upload, generate, or distribute through the service.

We will provide reasonable cooperation in defending such claims at your expense. You may not settle any claim that imposes obligations on MuseForge without our prior written consent.

10. Disclaimer of warranties

MuseForge is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that outputs will meet any quality, accuracy, or originality standard. AI-generated outputs may be inaccurate, biased, or duplicative of training data. You are responsible for reviewing outputs before relying on or distributing them.

11. Limitation of liability

To the maximum extent permitted by law, MuseForge will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or business interruption, even if advised of the possibility.

Our total cumulative liability for any claim arising from or related to these Terms or the service will not exceed the greater of (a) the amount you paid MuseForge in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100). This cap applies in aggregate across all claims and theories of liability. Some jurisdictions do not allow these limitations, in which case they apply to the maximum extent permitted.

12. Termination

You may terminate your account at any time from your account settings. We may suspend or terminate your access immediately, without prior notice or liability, if we reasonably believe you have violated these Terms, the AUP of any connected provider, or applicable law, or to protect the security or integrity of the service. Sections that by their nature should survive termination (including 3, 5, 9, 10, 11, 13, and 14) will survive.

13. Dispute resolution; arbitration; class-action waiver

Please read this section carefully — it affects your legal rights.

You and MuseForge agree to resolve any dispute arising from these Terms or the service by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, with arbitration seated in the state of MuseForge's incorporation. Judgement on the award may be entered in any court of competent jurisdiction.

You and MuseForge waive any right to a jury trial and to participate in a class action, collective action, or representative proceeding. The arbitrator may not consolidate claims or preside over a representative or class proceeding.

Carve-outs: either party may bring an individual claim in small-claims court if eligible, and either party may seek injunctive or equitable relief in court for infringement or misappropriation of intellectual property. If you reside in a jurisdiction that prohibits pre-dispute arbitration or class waivers in consumer agreements, this section applies only to the extent permitted there. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@museforge.dev with the subject "Arbitration Opt-Out" and your account email.

14. Governing law

These Terms are governed by the laws of the state of MuseForge's incorporation, without regard to conflict-of-law rules. Subject to Section 13, the state and federal courts of that state have exclusive jurisdiction over any non-arbitrable dispute.

15. Changes to these Terms

We may update these Terms. Material changes will be announced by email and reflected in the "Last updated" date above. Continued use of the service after the effective date of changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the service before the effective date.

16. Miscellaneous

These Terms are the entire agreement between you and MuseForge on the subject. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
